After you\u2019ve set up your business as an LLC in one state, the day might come that you\u2019ll have to move your business to a different state.<\/p>\n\n\n\n<p>I recently moved from Jersey City to Westchester County and had to figure out how to&nbsp;move my LLC&nbsp;from NJ to NY. It did involve some paperwork and fees, but wasn\u2019t as much of a headache as I feared. Here\u2019s a list of options for&nbsp;<strong>how to move your business to another state<\/strong>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Which state are you moving to and from?<\/h2>\n\n\n\n<p>The first factor that will determine the best plan of action is what state you\u2019re moving your business&nbsp;<strong>to<\/strong>&nbsp;and&nbsp;<strong>from<\/strong>. There are&nbsp;<strong>three<\/strong>&nbsp;main options, but only two are available in some states (including my situation):<\/p>\n\n\n\n<p><strong>1. <\/strong>The ideal, easiest, and cheapest solution is to <strong>domesticate<\/strong> your LLC. (This basically means \u201ctransferring\u201d your LLC.)<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>You would create a&nbsp;<strong><em>domesticated LLC<\/em><\/strong>&nbsp;in the&nbsp;<em>new<\/em>&nbsp;state (first obtain a C<em>ertificate of Good Standing<\/em>&nbsp;from the&nbsp;<em>old<\/em> state, then file that plus <em>Articles of Domestication<\/em> with the agency\/division in charge of LLC\/corporations in the <em>new<\/em> state.) Then you would dissolve your <em>old<\/em> LLC (and pay a fee, usually).<\/li><li><strong>Pros:<\/strong> You will get to keep your old EIN (which means you won\u2019t have to change any bank accounts or other accounts associated with that EIN and you\u2019ll keep your business credit score), and you\u2019ll only be an LLC in one state, which means only meeting one state\u2019s LLC requirements such as submitting annual reports, renewal fees, etc.<\/li><li><strong>However<\/strong>, not all states allow domestication. <em>Both<\/em> states must allow domestication in order for you to transfer your LLC this way. The states that <em>do<\/em> allow domestication are:\n<ul>\n<li>Arizona<\/li>\n<li>California<\/li>\n<li>Colorado<\/li>\n<li>Delaware<\/li>\n<li>Florida<\/li>\n<li>Idaho<\/li>\n<li>Indiana<\/li>\n<li>Kansas<\/li>\n<li>Kentucky<\/li>\n<li>Louisiana<\/li>\n<li>Massachusetts<\/li>\n<li>Maine<\/li>\n<li>Mississippi<\/li>\n<li>Nebraska<\/li>\n<li>New Hampshire<\/li>\n<li>New Jersey<\/li>\n<li>Nevada<\/li>\n<li>Pennsylvania<\/li>\n<li>South Carolina<\/li>\n<li>South Dakota<\/li>\n<li>Texas<\/li>\n<li>Utah<\/li>\n<li>Virginia<\/li>\n<li>Washington<\/li>\n<li>Wisconsin<\/li>\n<li>Wyoming<\/li>\n<\/ul>\n<\/li><\/ul>\n\n\n\n<p><strong>2.<\/strong> If domestication isn\u2019t an option, the next best, sort-of-simple choice is to <strong>register as a foreign LLC in the new state<\/strong>. Your \u201ccorporate home\u201d would be the <em>original<\/em> state, but you would be registered to do business in the <em>new<\/em> state. You would submit the proper form to the <em>new<\/em> state to register as a foreign LLC and pay a fee (sometimes quite pricey).<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>Cons:<\/strong> You would be registered in two states, which means you would have to comply with the rules of both states, including paying the fee to register in the new state as a foreign LLC, submitting annual reports for <em>both<\/em> states, and paying renewal fees in <em>both<\/em> states. These double fees could quickly add up. You would also have to have a <em>registered agent<\/em>&nbsp;in both states.<\/li><li><strong>Pros:<\/strong> You get to keep your original EIN (which means that your bank accounts, credit score, and anything associated with your EIN won\u2019t change).<\/li><li><em>*&nbsp;<strong>Terminology Note<\/strong>: the fee for forming a new LLC is usually called \u201cArticles of Organization\u201d fee, whereas the fee for registering as a foreign LLC is referred to as \u201cArticles of Authority\u201d fee (you\u2019re paying to be \u201cauthorized\u201d to do business in that new state).*<\/em><\/li><\/ul>\n\n\n\n<p><strong>3.<\/strong> The slightly complex but cheaper option than #2 is to dissolve the old LLC and form a new LLC. Contact the agency\/division of the <em>new<\/em> state to create an LLC, pay that filing fee, and receive a new EIN. Then, contact the agency\/division of the <em>old<\/em> state to dissolve your original LLC (and pay that fee).<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>Cons:<\/strong> You\u2019ll have to start fresh with a new EIN \u2013 which means updating your bank account, credit cards, and anything associated with your EIN (including SEP-IRA and SE 401(k) retirement accounts), and your credit score will \u201creset\u201d.<\/li><li><strong>Pros:<\/strong> You will only have to deal with the fees and reporting requirements for one state<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">How long will you be in the new state?<\/h2>\n\n\n\n<p>The three biggest pain points about moving your LLC are&nbsp;paperwork, the&nbsp;initial&nbsp;filing fee, and&nbsp;renewal fees. The length of time you plan to be in the new state could determine how to pick the best solution that would minimize those three things.<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>If you think the move is <strong>permanent<\/strong>, I recommend option&nbsp;<strong>#3<\/strong> \u2013 dissolving the old LLC and forming a new LLC. It may be slightly more complicated (and involve some annoying paperwork) at first to set up a new business and start fresh with your new EIN, but it would be a one-time hassle. You would only have to deal with the <em>initial filing fee<\/em> once and the <em>renewal fees<\/em>&nbsp;for one state.<\/li><li>If you only expect the move to be <strong>temporary<\/strong>, and think you\u2019ll be returning to the original state soon, I recommend option <strong>#2<\/strong> \u2013 creating a foreign LLC. This would require slightly less paperwork\/hassle, but you would have to pay an <em>initial fee<\/em>&nbsp;to start a foreign LLC in the new state and you would have to pay the&nbsp;<em>renewal fees<\/em> for the new state for as long as you live there (as well as the fees for the old state). However, when you return to your original state, you wouldn\u2019t have to pay the filing fee to form an LLC in the original state again.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Crunch the numbers<\/h2>\n\n\n\n<p>Here are the fees for each state so you can crunch the numbers and see what choice makes the most financial sense for you:<\/p>\n\n\n\n<div class=\"wp-block-file\"><a id=\"wp-block-file--media-273ad9ce-17ef-4cbb-9c05-b7a173336f79\" href=\"https:\/\/hbbadmin.dev.reliablepenguin.com\/blog\/wp-content\/uploads\/2019\/03\/LLC-Costs-by-State.docx\"><strong>LLC Costs by State<\/strong><\/a><a href=\"https:\/\/hbbadmin.dev.reliablepenguin.com\/blog\/wp-content\/uploads\/2019\/03\/LLC-Costs-by-State.docx\" class=\"wp-block-file__button\" download aria-describedby=\"wp-block-file--media-273ad9ce-17ef-4cbb-9c05-b7a173336f79\">Download<\/a><\/div>\n\n\n\n<p>Finally, here\u2019s a checklist to help you remember all the places to change your address after the move:<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Change of address \u2014 business checklist:<\/h2>\n\n\n\n<ul class=\"wp-block-list\"><li>Website &amp; blog (contact page, bio, meta description, etc.)<\/li><li>Google Maps address<\/li><li>Instagram bio\/description<\/li><li>Address on Facebook page (address &amp; bio)<\/li><li>Instagram location tag address will automatically change<\/li><li>The Knot &amp; WeddingWire storefronts (address, bio, region)Optional: change Preferred Vendors to more local venues\/vendors<\/li><li>Yelp storefront (address &amp; bio)Optional: change Business Recommendations to more local venues\/vendors<\/li><li>Your vendor contact information on Two Bright Lights<\/li><li>Update address for business bank account\n<ul>\n<li>New checkbook with updated address<\/li>\n<\/ul>\n<\/li><li>Paypal addressBusiness information, where to mail checks, etc.<\/li><li>Stamps.com return address<\/li><li>Youtube &amp; Vimeo address<\/li><li>Update billing &amp; shipping address of business credit cards<\/li><li>Update address, EIN, &amp; LLC name with retirement accounts<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Change of address \u2013 personal checklist:<\/h2>\n\n\n\n<ul class=\"wp-block-list\"><li>Change saved \u201cHome\u201d address on Google Maps<\/li><li>Change contact information in phone, notebooks, etc. (\u201cIf lost, please return to\u2026\u201d)<\/li><li>Print new return address labels<\/li><li>Change billing &amp; shipping address on:\n<ul>\n<li>Banks &amp; credit cards \u2013 Chase, Capital One, Amex, Bank of America, etc.<\/li>\n<li>Online accounts \u2013 Amazon, Paypal, Ebay, Etsy, etc<\/li>\n<li>Travel accounts \u2013 United, Southwest, EZ Pass, etc.<\/li>\n<li>Favorite stores \u2013 Express, NY &amp; Co, Bed Bath &amp; Beyond, B&amp;H, Starbucks, Acme, etc.<\/li>\n<\/ul>\n<\/li><li>Change address on Chrome auto-fill<\/li><li>Update bank address(es)\n<ul>\n<li>New checkbook(s) with updated address<\/li>\n<\/ul>\n<\/li><li>Change Renter\u2019s\/Homeowner\u2019s\/Auto\/Life Insurance address\n<ul>\n<li>Get updated policy, if necessary<\/li>\n<\/ul>\n<\/li><li>Register car in new state (get new registration + license + plates)<\/li><\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Life is unpredictable.
